Responsibilities
Navolutions agrees to be responsible for all services within the contractual obligations. For Navolutions to render said services, you as the customer, may be required to produce necessary information toward these ends. Depending on the nature of the agreed upon services, required information may include any or all of the following: pertinent company information, goal statements, statement of changes desired, FTP access, authorization to make changes to your website, authorization to make payments to Navolutions, desired images to be placed on website designs, etc.
The terms of the call referral contract with Navolutions are set on a contract to contract basis. Navolutions agrees to host, maintain and upgrade the call generation sites and use consistent branding to ensure the best results for your company. These sites will remain the sole property of Navolutions.
Copyright & Intellectual Property Ownership
The client shall be deemed the “author” or “owner” of any and all data provided to Navolutions for inclusion on a proprietary website. During services provided, Navolutions may be furnished or may otherwise receive or have access to information which relates to the client’s past, present or future products, vendor lists, creative works, marketing strategies, pending projects and proposals, and other proprietary information which gives the client an opportunity to acquire an advantage over its competitors who do not know or use the proprietary information. Navolutions agrees to preserve and protect the confidentiality of the proprietary information and all physical forms thereof, whether disclosed before this agreement is signed or afterward for a term no less than 5 years after the termination of the contract. In addition, Navolutions shall not disclose or disseminate the proprietary information to any third party and shall not use the information for the benefit of any third party. Without limiting the generality of the foregoing, Navolutions shall be prohibited from discussing the client or work with a representative of the press or media, either directly or indirectly, without the client’s express prior written approval.

Limitation of Liability
Navolutions services are provided “as is” and customers use of these services is at their sole risk. Navolutions hereby disclaims any and all warranties, whether expressed or implied, including, but not limited to, the implied warranties of merchantability or fitness for a particular purpose. In no event shall Navolutions be liable for any direct, indirect, incidental, special, exemplary or consequential damages. (including but not limited to loss of data, non-delivery or incorrect delivery of service, service interruptions and data security) however caused and arising in any way out of the use of our services or software. In essence, Navolutions’ liability towards you will be limited to the cost of the service provided.
